Nanomath grants Licensee the right to use the AOMM™ software (“Software”) free of charge solely for academic and non-commercial research, on the terms below.
1. License grant. Nanomath grants Licensee a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for internal academic research only during the Evaluation Term of 6 months, capped at 100 completed test analyses in that period. No fee is charged for the Evaluation Term.
2. Restrictions. Licensee shall not: (a) use the Software for any commercial, clinical-diagnostic, or fee-for-service purpose; (b) copy, distribute, share, host, or provide access to the Software to any third party, including within the institution beyond named users; (c) reverse-engineer, decompile, or attempt to derive source code or the underlying models; (d) remove or alter any notices, branding, or license controls; or (e) publish or circulate benchmarking or performance claims about the Software without Nanomath’s prior written consent.
3. Mandatory citation. Any publication, preprint, poster, presentation, thesis, or grant report that uses results produced with the Software must cite it as:
AOMM™ — Automated Oral Minimal Model Analysis, Nanomath LLC (Version 1.3.x), nanomath.us. (Nanomath will supply an updated citation/DOI if available.)
Licensee will notify Nanomath (support@nanomath.us) of each such work upon submission or release.
4. Feedback. Bug reports, usability feedback, and defect reports Licensee voluntarily provides about the Software are hereby assigned to Nanomath, which may use them for product improvement without obligation or compensation to Licensee. Research results, data, and methodological findings remain Licensee’s.
5. Ownership. The Software and all intellectual property in it remain the exclusive property of Nanomath. No rights are granted except as expressly stated. Research results and data generated by Licensee remain Licensee’s, subject to the citation duty in §3.
6. Right of reference. Nanomath may identify Licensee and Institution as a research user/evaluator of AOMM™ in its marketing and investor materials. (You may opt out of §6 using the checkbox below the agreement.)
7. Term & termination. This license runs for the Evaluation Term (6 months, or earlier if the 100-test cap is reached) and may be terminated by Nanomath at any time on written notice. On expiry or termination Licensee will stop using and delete the Software. Continued use after the Term requires a separate paid license. §§2–5 survive termination.
8. No warranty. The Software is provided “as is,” without warranty of any kind. It is for research use only and is not a medical device; it must not be used for clinical diagnosis or patient-care decisions.
9. Limitation of liability. To the maximum extent permitted by law, Nanomath’s total liability arising from this Agreement is limited to USD $0, and Nanomath is not liable for any indirect, incidental, or consequential damages.
10. Governing law. This Agreement is governed by the laws of the State of Washington, USA, and is the entire agreement between the parties on this subject.
